Confirm That an Amendment Is the Correct Filing

An LLC should not use a Certificate of Amendment merely because some business information has changed.

The appropriate filing depends on:

• What information is changing
• Where that information appears in the current state record
• Whether the change affects the Articles of Organization
• Whether Nevada provides a separate form for the update
• Whether a prior filing contained an error
• Whether the company is restating several amendments
• Whether an annual or amended list can report the change
• Whether the company is domestic or foreign
• Whether the company is a standard, professional, restricted, or specially regulated entity

The Nevada Secretary of State separately lists LLC amendments, Certificates of Correction, registered-agent changes, annual or amended lists, and other entity-management filings.

Lake Mead Mobile Notary can prepare the filing selected by the customer after review but cannot advise which filing should be used when the choice requires legal judgment.

Company Approval Must Be Established

Nevada law permits an LLC’s Articles of Organization to be amended as determined by all members or as otherwise permitted by the Articles of Organization or operating agreement. The customer must therefore establish that the amendment has been approved through the company’s applicable governance process.

The customer should review:

• The existing Articles of Organization
• The operating agreement
• Voting requirements
• Manager authority
• Member approval requirements
• Written-consent provisions
• Meeting requirements
• Investor or lender consent provisions
• Court orders or settlement agreements affecting the company
• Any agreement restricting a name, ownership, management, or structural change

Lake Mead Mobile Notary does not determine whether approval was legally sufficient or resolve disagreements among members, managers, investors, or other interested parties.

The Authorized Signer Must Be Confirmed

Nevada’s LLC amendment statute provides for the Certificate of Amendment to be signed by a manager or, when management is not vested in a manager, by a member. The company’s current management designation and signer authority should be confirmed before execution.

Additional review may be required when:

• The state record identifies former managers or members
• Management authority is disputed
• The signer is acting under a power of attorney
• A receiver, trustee, personal representative, guardian, or court-appointed fiduciary is involved
• The LLC is involved in bankruptcy
• The operating agreement limits signing authority
• A member or manager has died or become incapacitated
• The company is administratively revoked, dissolved, or in default
• The signer’s title does not match the company records

Lake Mead Mobile Notary does not certify a person’s internal authority to bind the company.

Legal Name Changes Require Additional Planning

An LLC legal-name amendment changes the name appearing in the company’s Nevada formation record after the filing becomes effective.

A legal-name change may also require separate updates involving:

• Nevada annual or amended lists
• State Business License records
• Local business licenses
• Tax accounts
• Banking and merchant accounts
• Insurance policies
• Leases
• Contracts
• Payroll and employment records
• Professional or occupational licenses
• Vehicle and property records
• Permits
• Websites, advertising, and customer documents
• Foreign-state registrations
• Assumed or fictitious-name filings

These follow-up changes are not automatically completed through the Nevada LLC amendment filing.

The customer should consult appropriate legal, tax, accounting, licensing, banking, and insurance professionals when the name change affects other obligations.

Registered-Agent Changes Use a Separate Filing

A change of registered agent should not automatically be placed into the general amendment workflow. The Nevada Secretary of State provides a separate Statement of Change of Registered Agent filing for existing LLCs.

Registered-agent changes may require:

• The new agent’s exact legal name
• Nevada registered-office address
• Agent acceptance
• Commercial or noncommercial agent classification
• Company authorization
• Separate government submission

Registered-Agent Change Preparation is a separate Document Services transaction.

Annual and Amended Lists Are Different Filings

An annual or amended list reports current officers, directors, managers, managing members, or other listed company information through the applicable Nevada list filing.

A Certificate of Amendment changes the company’s Articles of Organization.

The customer should not assume that:

• Filing an annual list changes the Articles of Organization
• Filing an amendment replaces an annual list
• Updating SilverFlume automatically updates every company document
• Changing an operating agreement changes the Secretary of State record
• Changing the state record automatically changes the operating agreement

The official Nevada forms system maintains annual or amended list filings separately from LLC amendment documents.

Amendment Versus Certificate of Correction

A Certificate of Amendment changes the company’s Articles of Organization through an approved amendment.

A Certificate of Correction may be used when a filed record contained an inaccurate statement, was defectively signed, or otherwise qualifies for correction under the applicable Nevada process.

The two filings should not be treated as interchangeable. The correct route depends on whether the company is making a new approved change or correcting a defect in a prior filing.

Lake Mead Mobile Notary cannot characterize a filing error or determine the legal effect of a proposed correction when the circumstances are disputed or complex.

Restated Articles May Be a Separate Scope

Restated Articles of Organization consolidate the company’s operative articles into a restated document. They may be useful when the company has filed multiple amendments or wants its current provisions reflected in one organized record.

Nevada law permits restated Articles of Organization to be filed in the same general manner as a Certificate of Amendment. When the restatement also alters the filed articles, the Secretary of State requires the accompanying amendment information prescribed for the filing.

Restatement may require a different scope when:

• Several prior amendments must be reviewed
• The company wants to reorganize or replace multiple provisions
• The current Articles are inconsistent with the operating agreement
• The company has changed structure more than once
• The customer requests amended and restated articles
• Customized provisions require professional drafting

This standard service does not automatically include complete restatement of the LLC’s Articles of Organization.

Effective-Date Instructions

Nevada law generally makes a Certificate of Amendment effective upon filing unless the document specifies a permitted later date and time. A delayed effective date cannot be more than 90 days after filing.

The customer must provide the requested effective-date instruction.

Lake Mead Mobile Notary cannot advise whether a particular effective date is preferable for tax, contract, licensing, financing, employment, or liability purposes.

Professional or attorney review may be appropriate when the LLC is connected with:

An amendment accepted by the Nevada Secretary of State does not establish compliance with another licensing or regulatory authority.

Changes Affecting Ownership or Economic Rights

A change in members, ownership percentages, contributions, voting rights, distributions, or economic rights may primarily require internal company documents rather than—or in addition to—a public amendment.

These matters may involve:

• Purchase agreements
• Admission or withdrawal documents
• Member consents
• Manager resolutions
• Tax elections
• Securities compliance
• Buy-sell agreements
• Lender consent
• Licensing disclosures

Any related filing or administrative task must be separately identified and confirmed.

Filing and Acceptance Are Not Guaranteed

Lake Mead Mobile Notary does not guarantee:

• That the requested change requires a Certificate of Amendment
• That the company obtained legally sufficient approval
• That the signer has authority to bind the LLC
• That a proposed legal name is available
• That the Nevada Secretary of State will accept the filing
• That another agency will recognize the amendment immediately

• That no additional company or government documents are required
• That expedited processing will be completed by a particular business deadline

The Nevada Secretary of State controls filing acceptance, processing, effective records, and government issuance. Other agencies and organizations control their own update and acceptance requirements.
